Article 1 — Definitions
Bluefeed: the sole proprietorship Bluefeed, established in Utrecht, registered with the Chamber of Commerce (KvK) under number 86313789.
Client: the natural person or legal entity that enters into an agreement with Bluefeed or receives a quotation.
Consumer: a client who is not acting in the course of a profession or business.
Agreement: any arrangement between Bluefeed and the client about advice, supply and/or installation of products, the performance of services, or a service subscription.
Work: advice, supply, installation, maintenance, service and related work. Subscription: a maintenance or service subscription as described in Article 12. Partner / subcontractor: a certified third party engaged by Bluefeed.
Article 2 — Applicability
These terms apply to all quotations, offers, agreements and work of Bluefeed.
Deviations only apply if they have been agreed in writing. The client's general terms and conditions are expressly rejected.
If a provision is void or voidable, the other provisions remain in force. The parties will consult on a replacement provision that comes as close as possible to its purpose.
In the event of conflict with mandatory consumer law, that law prevails. Provisions that would be unreasonably onerous for a consumer do not apply to consumers to the extent required by law.
Article 3 — Quotations and offers
Quotations are without obligation and valid for 30 days, unless stated otherwise.
Quotations are based on the information provided by the client and on the situation as established during the site survey.
Stated hours and quantities are an estimate. Unless a fixed price has been agreed, work is charged on an actual-cost basis (hourly rate × time actually spent).
Obvious mistakes or typing errors do not bind Bluefeed. A combined price does not oblige Bluefeed to deliver part of the work for a proportional part of the price.
Article 4 — Formation of the agreement
The agreement is formed by the client's written acceptance of the quotation, or when Bluefeed starts the work with the client's consent.
Article 5 — Prices and rates
For business clients, prices exclude VAT; for consumers, prices are stated including VAT.
Labour is charged at the applicable hourly rate according to the rate card. Outside regular working hours (evenings, weekends, public holidays) a surcharge applies.
Call-out costs are charged per visit according to the applicable distance scale. Parking costs are charged separately.
A fixed amount applies to an on-site survey. If the client accepts the quotation, one working hour is deducted from the order.
Materials are charged on an actual-cost basis at the applicable prices.
Bluefeed may index its rates annually. If Bluefeed increases the price within three months of entering into the agreement, a consumer has the right to dissolve the agreement.
Article 6 — Performance of the work
Bluefeed performs the work to the best of its knowledge and ability.
The client provides access to the location, a safe workplace and the necessary facilities (such as electricity, water and internet) and information.
Stated (completion) delivery periods are indicative and not strict deadlines, unless expressly agreed otherwise in writing.
Bluefeed may engage third parties and certified subcontractors. For work that requires statutory certification — including heat pumps (BRL 6000-25), gas-fired appliances (Dutch Gas Boiler Act/CO) and work with refrigerants such as cooling (F-gases) — certified partners are engaged.
If it becomes clear during the work that an adjustment or extension is needed (additional work), Bluefeed will agree this in advance as far as possible. Additional work is charged separately.
Article 7 — Completion
After completion, the work is handed over and its operation is explained. Minor imperfections that do not stand in the way of normal use are no reason to suspend payment.
Article 8 — Materials and retention of title
Delivered materials remain the property of Bluefeed until the client has paid all related amounts in full.
The risk for delivered and installed items passes to the client at the moment of delivery or installation.
Article 9 — Payment
Unless agreed otherwise, consumers pay within 14 days and business clients within 30 days of the invoice date.
For subscriptions, payment is made by direct debit (see Article 12).
If payment is not made on time, the client is in default. Bluefeed may charge the statutory interest and (extrajudicial) collection costs in accordance with the law. For consumers, this is preceded by a free reminder with a payment term of 14 days.
Bluefeed may suspend (further) work as long as the client does not meet a payment obligation that is due.
Article 10 — Deposit
For a total amount above € 1,000, Bluefeed asks for a deposit of 50% on acceptance. The work is scheduled after the deposit has been received.
Article 11 — Cancellation
If the client cancels before the work starts, costs already incurred and specially ordered materials may be charged.
If the client cancels an appointment less than 24 hours in advance, or nobody is present on arrival, Bluefeed charges the call-out costs plus 1 hour.
Article 12 — Maintenance and service subscriptions
Subscriptions are taken out per system at the Basic or Complete level. The content per level is set out in the current subscription overview.
Term: at least 12 months. After that, the subscription continues for an indefinite period and can be cancelled at any time with a notice period of 1 month.
Payment is made by a recurring SEPA direct debit mandate, monthly or annually. If a direct debit fails, Bluefeed may suspend the service after notice. The client can have an unjustified debit reversed by their own bank within 8 weeks.
Response time for faults: Basic within 24 hours, Complete within 6 hours, counted on working days during office hours, for the covered system.
The subscription discount applies to labour and call-out costs. Materials, parts, replacement of equipment and costs of the manufacturer or partner are excluded. Monitoring only works with a working internet connection and the necessary access and accounts.
Rates may be indexed annually. In the event of an increase above indexation, the client may cancel the subscription.
The subscription applies to the systems supplied and installed by Bluefeed at the specified address.
Article 13 — Warranty
Installation warranty: 12 months on the mounting and installation carried out by Bluefeed. Any defect that is demonstrably caused by an installation error by Bluefeed is repaired free of charge.
Product warranty: the manufacturer's warranty applies to supplied equipment and materials; the period differs per product.
No warranty applies to defects caused by incorrect use, insufficient maintenance, changes or interventions by third parties, external causes (such as a network or provider change or a power cut) and normal wear and tear.
Service and reconfiguration: resetting or reconnecting equipment after changes outside Bluefeed's control (for example a new internet provider, a different router or a changed Wi-Fi password) is not covered by the warranty and is carried out as a paid service.
The statutory rights of consumers, including the right to a sound product (conformity), remain unaffected.
Article 14 — Complaints
The client reports complaints about the work or an invoice as soon as possible and no later than 14 days after discovery, in writing via contact@bluefeed.nl. Bluefeed responds within a reasonable period.
For business clients, a complaint does not suspend the payment obligation.
Article 15 — Liability
Bluefeed's liability is limited to performing the work correctly after all, or to the invoice amount of the order concerned, and in any case to the amount paid out by the liability insurance in the case concerned.
Bluefeed is not liable for indirect damage, including consequential damage, lost savings or revenue and loss of data.
These limitations do not apply in the event of intent or deliberate recklessness on the part of Bluefeed, and apply to consumers only to the extent permitted by mandatory law.
Article 16 — Force majeure
In the event of force majeure — including supply problems, extreme weather conditions and failure of engaged third parties — the obligations are suspended. In that case, neither party is obliged to pay compensation.
Article 17 — Right of withdrawal (consumers)
For a distance contract or an off-premises contract, the consumer has a 14-day cooling-off period to withdraw from the agreement without giving a reason.
If the consumer has expressly requested that work start within the cooling-off period, they owe a proportional amount for the work already performed on withdrawal.
The right of withdrawal lapses for custom-made or personalised products, and for a service that has been fully performed within the cooling-off period with the consumer's consent.
Article 18 — Personal data
Bluefeed processes personal data in accordance with the privacy statement on bluefeed.nl and with the General Data Protection Regulation (GDPR).
Article 19 — Applicable law and disputes
Dutch law applies to all agreements and these terms.
Disputes are submitted to the competent court of the District Court of Midden-Nederland. For consumers, the statutory rules on relative jurisdiction apply.
Article 20 — Final provisions
Bluefeed may amend these terms. The most recent version is published on bluefeed.nl. For ongoing agreements, amended terms only apply after notification; in the event of a change that is unfavourable to the consumer, the consumer may cancel.
